These Terms and Conditions constitute a legally binding agreement between the Host, the Guest, and Pinokey 2026 LLC, governing the terms of use of the website and cooperation between the Host and Guest.

About the Website

Pinokey.io is a digital platform designed to simplify and automate the process of short-term property rentals, including daily and hourly rentals.

Pinokey 2026 LLC creates and administers the functional platform to facilitate the booking process for Hosts and Guests. The Company is not an intermediary, and full responsibility for the accuracy of published information and the proper use of generated links rests with the Host and Guest.

The website is used for organizing bookings, publishing property information, and sharing such information with Guests.

The platform's primary purpose is to provide Hosts with a unified electronic system where they can manage property bookings, administer customers, and effectively manage revenue without intermediaries.

Before using the website, please carefully review these Terms and Conditions. If you do not agree with these Terms, please do not use the services offered, do not register, and leave the website.

By registering on the website, the Host confirms acceptance of these Terms and Conditions, while the Guest confirms acceptance by completing the verification process.

Acceptance of these Terms and Conditions and the Privacy Policy is mandatory during registration, authorization, verification, and use of website services. Otherwise, the user will not be able to use the website.

The Company is committed to protecting users' interests and the security of information provided. Personal data obtained from users is processed lawfully and only for the purposes specified in the Privacy Policy and according to the consent provided by users.

By selecting the checkbox "I agree to the Terms," the Host/Guest confirms acceptance of the conditions offered by the Company. By accessing and using the website, you confirm that you have read and accepted these Terms and Conditions, including the Privacy Policy and Cookie Policy.

1. Definitions

• Company – Pinokey 2026 LLC (Identification Number: 405833638), a limited liability company registered under Georgian law on 29/01/2026. • Website – The website operated by the Company: www.pinokey.io
• Guest – Any legal entity or any natural person aged 18 years or older who uses short-term property rental services.
• Verification – The process by which a Guest creates a conditional user account using a Unique Identifier.
• Unique Identifier – The user's mobile phone number.
• Host – Any legal entity or individual who publishes information about rental property on the website for the purpose of generating booking links and simplifying the booking process.
• Parties – The Company, the Host, and the Guest.
• Personal Account (Profile) – The account registered by a Host on the Company's website.
• Registration – The procedure completed by the Host to create an account and access services.
• Publication – The publication of information regarding property, booking conditions, payment methods, and other relevant details.
• Third-Party Authorization – Authorization on the website using another platform's authentication service.
• Booking Link (URL) – A publicly accessible, reusable link generated by the website for booking a specific property.
• Badge – A special designation labeled "Verified", indicating that the property exists and has been verified.
• Terms of Use – The rules and technical instructions governing use of the website.
• Agreement – This legally binding agreement between the Parties, including these Terms and Conditions and the Privacy Policy.

2. Representations and Warranties

By registering on the website, the Host represents and warrants that:

• They are a legally registered entity or an adult individual under Georgian law.
• They have legal authority to enter into transactions and fulfill obligations under these Terms.
• They have read and accepted these Terms and Conditions.
• They will provide accurate information and keep it updated.
• They assume full responsibility for activities conducted through their account.
• Their actions do not violate the rights of third parties.
• Published information is truthful and reflects actual circumstances.
• They have the legal right to own and rent out the published property.
• They understand that Guests may leave reviews regarding received services.
• They bear full responsibility for payments made by Guests (except where the Guest uses a Verified property).
• Communication between Host and Guest occurs outside the platform and is not controlled by the Company.

By completing verification, the Guest represents and warrants that:

• They have reviewed these Terms and the Host's published information before verification.
• They understand that responsibility for published information rests solely with the Host.
• They will act lawfully and in good faith when using the property.
• They understand that the Company may record behavior and calculate ratings using the Unique Identifier.

By registering, authorizing, or verifying, the Host and Guest further represent and warrant that they:

• Will securely store account credentials.
• Will not share unique property instruction links with third parties.
• Will not interfere with website functionality.
• Will not engage in prohibited or unlawful activities.
• Will maintain confidentiality of registration information.
• Are acting voluntarily and possess full legal capacity.
• Are not engaged in money laundering, terrorism, arms trafficking, or other illegal activities.
• Understand that rental agreements are concluded directly between Host and Guest and that the Company is not a party to such agreements.

Verified Badge

The "Verified" badge only confirms that:

• The property exists;
• The property is located at the stated address;
• The Company has verified those facts.

The badge does not constitute any guarantee regarding:

• Host conduct;
• Property condition;
• Quality of service;
• Accuracy of descriptions;
• Any other obligations of the Host.

3. Registration, Authorization and Verification

• Hosts must register to publish listings.
• All mandatory registration fields must be completed.
• Acceptance of these Terms and the Privacy Policy is required.
• Hosts must verify their accounts via email and password.
• Changing the Unique Identifier requires a new registration.
• Guests must complete a simple verification process before finalizing a booking.
• Reviews may only be submitted by verified Guests after using a booking.
• Hosts may also log in through third-party services such as Google and must accept those providers' terms.

4. Services and Conditions

The Company allows Hosts to:

• Generate unique property booking links;
• Generate unique property instruction links.

Pinokey.io operates according to the Direct Booking principle: the Host creates a unique public URL and shares it directly with the Guest. Bookings are completed through this link, allowing Hosts full control over customer relationships and sales channels.

Hosts can manage listings and bookings through their personal profiles.

Support is available via hotline, email, or the support section of the website.

Smart Lock Integration

For eligible subscription packages:

• Smart locks may be integrated with the platform.
• Unique access codes may be generated for each booking.
• Codes will be sent to Guests via SMS together with property instructions.
• Codes become active two hours before check-in and remain active during the booking period.
• The Company is not responsible if Hosts or Guests share access codes with third parties.

Cancellation Policy

Hosts must clearly publish their cancellation policy and specify deadlines for free cancellation.

If cancellation rules are not published, Guests may request cancellation and a refund at any time.

5. Core Platform Features

The platform includes:

• Property listing management (photos, descriptions, pricing, availability);
• Booking management through external links;
• Unified calendar with iCal synchronization, including integrations with platforms such as Airbnb and Booking.com;
• Guest database management;
• Rating and review systems for both Hosts and Guests;
• Payment processing through Company accounts for Verified properties.

6. Pricing and Payment

The Company offers three subscription plans:

Plan	Price
Starter	20 GEL/month
Professional	45 GEL/month
Enterprise	120 GEL/month (available only through an individual agreement)

Hosts may subscribe through the designated subscription page.

For Starter and Professional plans, users may:

• Save card details;
• Enable recurring billing;
• Cancel subscriptions at any time;
• Purchase a one-month subscription.

Subscription Cancellation and Refunds

• Subscription cancellation requests must be submitted within 14 days of payment.
• Refunds are only available within 14 days of payment.
• Refund requests automatically suspend the profile.
• Approved refunds are processed within five business days.

Suspension and Booking Cancellation

If subscription fees are unpaid:

• Active bookings may be canceled.
• Property listings become inactive.
• Booking links become unavailable.
• Data remains stored for 30 days.
• If payment is made within 30 days, data is restored automatically.
• After 30 days of non-payment, data is permanently deleted.

For bookings paid into Pinokey's account through automatic payment, Guests may request a refund within 36 hours after booking completion by providing supporting evidence. The Company may review such claims without Host involvement.

7. Company Rights and Liability

The Company:

• Is not responsible for inaccurate information published by Hosts.
• May remove accounts violating these Terms.
• Bears no liability for user violations of law.
• Is not responsible for damages resulting from negligence or disclosure of login credentials.

Verified Property Protection

Where payment is made through the Company's integrated payment system for a Verified property: if the property does not exist at the specified address, the Company will refund the payment within three business days after proper verification of the claim.

8. Liability of the Parties

Each Party may require the other Party to fulfill its obligations properly and in good faith.

Parties are liable for damages caused by failure to fulfill obligations under applicable law.

Compensation for damages does not release a Party from performance of its obligations.

9. Privacy Policy

The Privacy Policy is available as an attached document on the website.

By registering and accepting these Terms, users confirm that they have reviewed and accepted the Privacy Policy.

10. Term and Termination

These Terms, including amendments and supplements, remain effective until terminated.

Users may terminate their relationship with the Company at any time after settling any outstanding obligations.

The Company may amend these Terms unilaterally at any time.

11. Governing Law

These Terms are governed by the laws of Georgia.

Any dispute shall first be resolved through negotiation.

If no agreement is reached, disputes shall be resolved by the Tbilisi City Court.

12. Final Provisions

The invalidity of any provision of these Terms shall not affect the validity of the remaining provisions.
